Terms of Sale and Use

These Terms of Sale and Use ("Terms") govern purchases, access to digital products, and use of websites and services operated by Twain - F.Z.E, an entity established in Ajman Free Zone, United Arab Emirates ("Twain", "we", "us" or "our").

By placing an order, completing payment, accessing a purchased digital product, or otherwise using a Twain product or service, you agree to these Terms.

2. Scope and legal capacity

These Terms apply to purchases and use of Twain products and services unless separate written terms expressly apply.

If you purchase on behalf of a company or other organisation, you confirm that you have authority to bind that organisation to the applicable transaction and licence.

If you purchase as an individual, you confirm that you have the legal capacity required to enter into the transaction.

Mandatory rights available under applicable consumer law are not excluded by these Terms.

3. Products and services

Twain develops and supplies digital products, specialist systems, creative works, software-related materials, documentation and related services.

Product descriptions, specifications, prices and licence terms displayed at the time of purchase form part of the applicable transaction.

Digital products may include downloadable files, documentation, source materials, templates, specialist operating systems for artificial intelligence, software-related assets or other electronically supplied content.

4. Orders and payment

Prices are displayed in the currency stated on the applicable product page or checkout.

Payment must be completed through the payment methods made available during checkout. Payment processing may be provided by third-party payment processors, including Stripe.

An order is considered accepted when payment has been successfully confirmed and Twain makes the purchased product or service available to you.

Twain may refuse or cancel an order where reasonably necessary, including where there is suspected fraud, payment failure, a material pricing or technical error, unlawful activity, or a material breach of these Terms.

Where an order is cancelled after payment and before delivery, any refund due will be processed using the applicable payment method, subject to law and payment-provider procedures.

5. Digital delivery

Digital products are normally delivered electronically after successful payment.

Delivery may take the form of a secure download link, account access, electronic file delivery or another method stated on the applicable product page.

Where a secure download link is used, the link may expire or be subject to reasonable download limits. These controls are intended to protect the product and do not reduce any mandatory rights available under applicable law.

You are responsible for providing a valid email address and maintaining reasonable access to that email account.

If you have paid successfully but cannot access the purchased product, contact support@madebytwain.com.

6. Licence and permitted use

Purchase of a digital product does not transfer ownership of Twain's intellectual property.

Unless expressly stated otherwise, the purchaser receives a limited, non-exclusive and non-transferable right to use the purchased product in accordance with the licence terms supplied with that product or stated at the time of purchase.

Product-specific licence terms may form part of the transaction.

Unless the applicable licence expressly permits it, you may not:

  • redistribute the source product or package;
  • resell the source product or package;
  • sublicense the source product or package;
  • publish or make the source product publicly available;
  • upload the source product to a public repository;
  • provide the source product as a downloadable component of another commercial product; or
  • remove or misrepresent ownership, copyright or provenance notices.

Authorised use of a Twain product does not transfer ownership of Twain's underlying source materials, systems, methods or documentation.

7. Intellectual property

All intellectual property rights in Twain products, documentation, branding, designs, text, systems, source materials and associated content remain owned by Twain - F.Z.E or the relevant rights holder.

No purchase grants ownership of copyrights, trademarks, trade secrets or other proprietary rights except to the extent expressly stated in writing.

Nothing in these Terms transfers to Twain ownership of a customer's pre-existing materials, data, concepts or other intellectual property merely because those materials are used with a Twain product.

8. Customer responsibilities

You agree to use Twain products lawfully and in accordance with the applicable licence.

You are responsible for:

  • determining whether a product is suitable for your intended use;
  • using appropriate professional judgment where outputs affect business or other decisions;
  • maintaining reasonable backups of downloaded materials;
  • protecting downloaded products from unauthorised distribution; and
  • complying with laws and third-party terms that apply to your use.

You must not intentionally defeat technical controls used to protect access, licensing or distribution.

9. Refunds and cancellations

Digital products are supplied subject to applicable law and any refund terms shown on the relevant product page or checkout.

Because digital products may provide immediate access to proprietary files or source materials, eligibility for a discretionary refund may be affected once the product has been accessed, downloaded or used.

This does not exclude any right to cancellation, refund, replacement, remedy or compensation that cannot lawfully be excluded.

If a supplied file is materially defective, corrupted, inaccessible after successful payment, or materially inconsistent with its description, contact support@madebytwain.com so that Twain can investigate and, where appropriate, provide replacement access, correction, refund or another remedy.

10. Product versions, availability and updates

Twain may update, replace or discontinue products from time to time.

A purchase grants the rights and materials expressly associated with the version purchased, together with any updates expressly stated as included with that purchase.

Twain is not required to provide future major versions, new products, custom implementation, consulting, support beyond the stated support scope, or additional services unless expressly included.

Where maintenance updates are expressly included with a product, Twain may determine the method and timing of delivery.

11. Artificial intelligence and specialist systems

Some Twain products are designed for use with artificial-intelligence systems, models, APIs, software or third-party platforms.

Outputs generated through such systems can vary according to the underlying model, model version, system configuration, user instructions, context, third-party platform changes and other factors outside Twain's control.

Purchase of a Twain product does not guarantee:

  • a particular model output;
  • a particular commercial or behavioural result;
  • uninterrupted compatibility with every current or future third-party model; or
  • that AI-generated output is complete, accurate or suitable for every context.

Users remain responsible for reviewing outputs and applying appropriate human and professional judgment.

12. Accuracy and warranties

Twain aims to describe its products accurately and to supply them in materially conforming condition.

To the maximum extent permitted by law, Twain does not warrant that a digital product will produce a particular commercial, technical, creative, behavioural or financial outcome.

Nothing in this section limits any warranty or consumer right that cannot lawfully be excluded.

13. Third-party services

Twain may rely on third-party providers for payment processing, hosting, infrastructure, analytics, communications, secure file delivery or other technical services.

Those providers may process information in accordance with applicable law and their own terms and privacy practices.

Twain is not responsible for outages, restrictions, model changes, service changes or failures of third-party services that are outside Twain's reasonable control, except to the extent responsibility cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by applicable law, Twain will not be liable for indirect, incidental, special or consequential loss arising from the purchase or use of a digital product, including loss of profits, revenue, business opportunity or data.

Where liability cannot lawfully be excluded or limited in the manner stated above, liability will be limited only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

15. Privacy

Personal information is processed in accordance with Twain's Privacy Policy.

Payment-card information is processed by the applicable payment provider and is not intended to be stored directly by Twain unless expressly stated.

16. Changes to these Terms

Twain may update these Terms periodically.

The Terms applicable to a particular purchase are the version presented or otherwise applicable when that purchase is completed, unless a change must apply because of law or regulatory requirements.

Material revisions will be identified by an updated effective date or version number.

17. Language

These Terms are made available in English and Arabic.

Both versions are intended to communicate the same substantive terms. If there is any inconsistency between language versions, the effect and interpretation required by applicable mandatory law will prevail.

18. Governing law and disputes

These Terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Ajman, without prejudice to any mandatory consumer protections applicable to the purchaser.

Any dispute shall be subject to the jurisdiction of the competent courts or authorities in Ajman, United Arab Emirates, except where applicable mandatory law requires otherwise.
